Saxenhammer advises ATH Altonaer-Technologie-Holding GmbH on the spin-off of Hamburg-based ZAE-AntriebsSysteme GmbH & Co KG, a specialist of high-quality drive solutions to Dacapo2.

Saxenhammer acted as the exclusive M&A advisor to ATH Altonaer-Technologie-Holding (ATH) in the sell-side process of ZAE-AntriebsSysteme (ZAE).

The German specialist of drive technology with more than 100 years of expertise in gear units for industrial applications, has been acquired by German investor Dacapo2. The foundation of the industry pioneer for customized gear units dates back to 1919. Over the decades, the company has developed into a leading player with sound expertise in drive technology in Germany and, today is a specialist for high-quality standard and customized gear units. Having considered ZAE’s business as a non-core activity within ATH, the Seller mandated Saxenhammer to carry out the spin-off of the German drive technology specialist. Dr. Tarik Vardag, Managing Director of ATH commented: "The sale of this traditional company with a shared history of more than 100 years was not easy for us, but it is a consistent step and provides an opportunity for all companies to focus on their respective core businesses." As of 1st January 2022, the transaction was successfully closed with Berlin-based Dacapo2. Dr. Tarik Vardag commented further: „We are very pleased that Saxenhammer supported us. Their persistence and industry knowledge has proven to be key in realizing this transaction. With Dacapo2, Saxenhammer has found the ideal partner to further develop ZAE strategically.“ The Saxenhammer deal team was led by Christian Saxenhammer (Managing Director) and Carina Küffen (Director) who were supported by Leon Holtmann (Analyst).
